# Preamble

This Agreement is between you (the "Participant", "you", or "your") and Relationship Development, LLC, a limited liability company (the "Company", "we", or "us"), regarding your access to one or more digital courses purchased through the Company's digital sales channels, including but not limited to website pages, landing pages, checkout funnels, and integrated payment portals (collectively, the "Sales Channels").

By submitting your payment information, you have applied to participate in one or more digital courses (collectively, the "Courses"). Upon the Company's acceptance of your payment, the Company will send you an acknowledgment. This Relationship Development Digital Course Purchase Agreement (this "Agreement") is a binding contract between you and the Company alone. By purchasing and accessing any Course, you agree to be bound by this Agreement.

Important Notice Regarding Entity Separation. All Course content and underlying intellectual property are owned exclusively by Sun and Moon Creations, LLC (the "IP Owner"). The IP Owner is not a party to this Agreement, has no contractual relationship with you, and assumes no liability for the Company's business operations, content selection, course delivery, marketing, pricing, or any other activity. You agree to look exclusively to the Company for all contractual obligations, refunds, customer service, and operational claims.

# Section 1. Definitions; Entity Separation

For purposes of this Agreement, the following definitions apply:

  1. "Company" refers exclusively to Relationship Development, LLC, responsible for all operational aspects including content selection, marketing, pricing, payment processing, customer service, technical support, platform administration, participant interactions, data security, refund decisions, and all business operations.
  2. "IP Owner" refers exclusively to Sun and Moon Creations, LLC, the sole owner of all intellectual property rights. The IP Owner:
    • Does not select, create, or curate Course content
    • Does not control how the Company presents, markets, prices, or delivers the Course
    • Does not supervise the Company's business operations or staff
    • Does not guarantee or warrant any outcomes from the Course
    • Bears no liability for the Company's conduct, representations, omissions, or activities
    • May join arbitration proceedings only for intellectual property enforcement claims
    • Is not a party to this Agreement
  3. "Proprietary Information" refers to all intellectual property owned by the IP Owner, including underlying methods, concepts, frameworks, text, audio, video, images, and trademarks that form the basis of the Course.
  4. "Participant" or "you" refers to the individual who purchases and accesses the Course.
  5. "Six-Month Access Term" refers to the fixed duration of Course access granted from the Purchase Date until the Expiration Date.
  6. "Separate Licensing Agreement" refers to the private licensing arrangement between the Company and the IP Owner. You are not a party to that agreement.
  7. "Purchase Date" means the date the Company accepts your payment.
  8. "Expiration Date" means the date six (6) months after the Purchase Date.

1.1 Entity Independence; Separation of Responsibilities

(a) Operational Authority Rests Solely with the Company. The Company has exclusive authority over all business and operational decisions. The IP Owner exercises zero control over these matters.

(b) Content Curation is the Company's Sole Responsibility. While the IP Owner owns the underlying intellectual property, the Company alone selects what content appears in the Course, how it is compiled, organized, presented, taught, marketed, and delivered.

(c) No Agency, Partnership, or Joint Venture. Neither the Company nor the IP Owner is an agent, partner, joint venturer, franchisee, employee, or representative of the other. You must look exclusively to the Company for all contractual obligations.

(d) Legal Separation Under Applicable Law. This Section 1.1 is intended to maintain clear legal separation between the Company and the IP Owner to the fullest extent permitted by Idaho law, federal law, and applicable intellectual property statutes.

(e) No Reliance on IP Owner. You acknowledge that you are not relying on any representation, warranty, or assurance by the IP Owner.

# Section 2. Purchase and Access

Your purchase includes access to all online events, community features, bonus curriculum, and benefits offered for the specific digital course(s) you have purchased, for a fixed term of six (6) months beginning on the Purchase Date and expiring on the Expiration Date. Upon the Expiration Date, all access to the purchased Course(s) and associated benefits shall automatically and immediately cease without further notice. No lifetime access is granted under any circumstance.

This Agreement applies uniformly to all digital courses purchased from the Company's Sales Channels; however, the specific Course content you receive is limited to the course(s) identified in your order confirmation.

The Company may implement technical restrictions to prevent unauthorized sharing, including limits on concurrent logins, geographic restrictions, device authentication, IP address monitoring, session token validation, and watermarking of digital materials. Circumvention, attempted circumvention, or interference with any such technical restrictions constitutes a material breach of this Agreement and may result in immediate termination of access without refund.

# Section 3. Fixed Purchase Price

The total purchase price for all Course(s) included in your transaction is the amount shown on your order confirmation and receipt(s) at the time of checkout, payable in full as a one-time, non-recurring payment. This total purchase price may reflect individual Course prices, bundle discounts, package pricing, promotional discounts, or other pricing configurations determined by the Company at its discretion.

Accepted payment methods include credit cards or debit cards. If at any time the purchase price becomes subject to state or local sales tax, the payment of the tax is the responsibility of the Participant. The Company reserves the right to change the purchase price for future Course enrollments; however, any price change shall not affect Participants who have already completed their purchase.

Purchasing additional or different Courses from the Company's Sales Channels constitutes a separate transaction subject to this Agreement at the then-current pricing, with each transaction having its own independent six-month access term.

# Section 4. Payment Authorization

By submitting your payment information, you authorize the Company to charge the full total purchase price to the selected payment method (credit card or debit card) on file with the Company. Once you are accepted into the Course(s), you are responsible for full payment of the total purchase price, regardless of whether you actually attend, participate in, or complete the Course(s), and regardless of whether you access any or all Course content during the six-month access term.

# Section 5. Charge-Backs

We do not allow or accept any actual or threatened charge-back from your credit card company or other payment processor. If a charge-back is placed on a Course purchase, or if we receive a charge-back threat during or after your purchase, we reserve the right to report the incident to all three credit reporting agencies or to any other entity for inclusion in any charge-back database or for listing as a delinquent account, which could have a negative impact on your credit report score.

The information reported will include your name, email address, order date, order amount, and billing address. Charge-back abusers wishing to be removed from the database must reverse their claim with the credit card provider or other payment processor and make the payment for the full amount of the charge-back.

# Section 6. Refund Policy

Except as required by law, all fees are non-refundable. This includes any fees paid for a Course that the Participant has previously purchased, whether the same or substantially similar in content. No refund will be issued in the event that the Participant purchases the same or a similar Course more than once, regardless of whether the Participant was aware of the prior purchase at the time of the subsequent purchase. If a refund is required by a governing jurisdiction, the Company will comply with that requirement.

Prorated Refund for Service Interruption. Notwithstanding the foregoing, if the Company fails to deliver any Course content or access for a period of thirty (30) or more consecutive days during the six-month access term due solely to causes within the Company's control (excluding Force Majeure events), the Participant may request a prorated refund attributable to the period of non-delivery. Any such request must be submitted in writing to support@relationshipdevelopment.org within sixty (60) days of the resumption of Course access or the Expiration Date, whichever occurs first.

# Section 7. Expiration of Access

On the Expiration Date for each Course, all Participant access to that Course's events, community, bonus curriculum, benefits, and any associated materials shall automatically terminate.

The Participant is solely responsible for tracking the Expiration Date and completing any desired Course activities prior to expiration. The Company shall make commercially reasonable efforts to provide a courtesy email reminder of the Expiration Date at least seven (7) days prior to expiration. The Company's failure to provide such courtesy reminder shall not extend the access term, create any obligation or liability, or entitle the Participant to any refund or other remedy.

The expiration of Course access shall not result in a termination of this Agreement but shall only result in the termination of such Course access.

# Section 8. No Auto-Renewal or Recurring Billing

This Agreement does not involve any automatic renewal, recurring billing, subscription charges, or ongoing payment obligations. The Participant's only financial obligation is the one-time purchase price paid at enrollment for each Course.

The Company shall not charge the Participant's payment method at any time after the initial purchase unless the Participant voluntarily initiates a new, separate purchase of a different Course.

# Section 9. Early Termination by Company

We are committed to providing a positive Course experience. The Company may, in its reasonable and good faith discretion, terminate this Agreement and/or limit, suspend, or terminate your participation in any purchased Course, without refund, at any time during the six-month access term, if the Company determines, based on verifiable circumstances, that you:

  1. Become disruptive or difficult to work with
  2. Fail to follow Course guidelines (which may be revised or amended from time to time by the Company)
  3. Violate, attempt to violate, or display a likelihood of violating any provisions of this Agreement
  4. Cast aspersions upon, disparage, threaten, or impair the participation of Course instructors, Company representatives, or Course participants
  5. Share, distribute, post, publish, or transmit any login credentials, account access information, enrollment details, or Course access methods to any other person or through any online medium

All Company decisions will be final and binding upon you.

# Section 10. Non-Transferable; Credential Security

Each Course purchase and associated access is non-transferable, may not be resold, and may not be assigned by you without the Company's consent, which may be withheld, conditioned, or delayed in the Company's sole and absolute discretion. Any purported resale, transfer, or assignment of a Course in violation of this Section 10 is void.

10.1 Credential Sharing and Posting Prohibition

Sharing login credentials, account access, enrollment information, session links, invitation codes, or any other access-enabling information with any other person is strictly prohibited. Each Participant must maintain their own unique account and must not allow any other person to access Course content through their account or credentials.

10.2 Posting of Credentials Prohibited

You shall not post, publish, transmit, upload, share, display, or otherwise make available your login credentials, account access information, enrollment details, session links, invitation codes, passwords, usernames, or any other information that could enable unauthorized access to any Course, through any online medium including websites, social media platforms, file-sharing services, chat applications, or any other digital or electronic medium.

10.3 Credential Security Responsibility

The Participant is solely responsible for maintaining the confidentiality and security of their login credentials and account information. The Participant agrees to immediately notify the Company of any suspected or actual unauthorized use of their account.

Failure to safeguard credentials may result in termination of access without refund. The Participant is liable for any and all activity occurring under their account, whether authorized or unauthorized by the Participant.

# Section 11. Financial Burden

You represent and warrant that payment of the total purchase price for the Course(s) will not place a significant and undue financial burden on you or your family, and that you are capable of bearing the financial burden of your participation in any Course.

# Section 12. Acceptance Mechanism

This Agreement is presented to you prior to the completion of your purchase through the Company's Sales Channels. By submitting your payment information and completing your purchase, you affirmatively acknowledge that you have had the opportunity to review this Agreement, and your act of submitting payment constitutes your electronic acceptance of and agreement to all terms and conditions contained herein, with the same force and effect as a handwritten signature.

The Company's acceptance of your payment, evidenced by the order confirmation and receipt sent to you, constitutes the Company's acceptance of this Agreement.

You acknowledge that the IP Owner is not a party to this Agreement and that your only contractual relationship is with the Company.

# Section 13. Availability

Course access is not available in all regions of the world and may not be accessible if you travel, vacation, or move to another region of the world during your access term.

# Section 14. Prerecorded Content

The Company may, at its discretion, provide temporary access to prerecorded versions of Course content. Prerecorded content may also be used during online Course events that are streamed over the internet. You understand and agree that the terms of this Agreement apply to all Course activities and content whether live or prerecorded Course access is granted.

# Section 15. Internet Access

Some or all of any Course will be delivered over the Internet, and accordingly is subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications. The Company is not responsible for any delays, delivery failures, viruses, hacker intrusions, or other damage resulting from such problems.

The Company does not represent or warrant that your access to any Course will be secure, uninterrupted, or error free. You are solely responsible for providing your own Internet connection and your failure to do so will not entitle you to a refund of any Course fees.

# Section 16. Nonsolicitation

You agree not to directly or indirectly solicit any employee or agent of the Company to disengage from employment or retention with the Company. In addition, while you are a participant in any Course, and for two (2) years after you cease being a participant, you shall not directly or indirectly solicit or divert business from any customer or vendor of the Company regarding any competing product or service.

This restriction applies to customers and vendors with whom you had contact during your participation in the Course and is limited to activities within the United States.

# Section 17. Media Release

In consideration of the Company's approval of your attendance in Course activities, you acknowledge and agree as follows:

17.1 Grant of Rights

You grant the Company the right to use photographs, images, silhouettes, video, and audio impressions of you captured and recorded during Course activities (the "Impressions"), and the right to use the Impressions in connection with any presentation, program, publication, product, transmission, advertisement, publicity, or other commercial endeavor in perpetuity.

In addition, you waive any claims that any use of your photograph, image, video, or audio impressions as permitted hereunder portrays you in a derogatory manner or false light, except to the extent that such use constitutes an intentional or reckless portrayal of you in a false light that would be highly offensive to a reasonable person.

17.2 Ownership of Media

You agree that the Company will exclusively own all rights, title and interest, including copyright in, and to, the Impressions and the Media, with worldwide and perpetual rights. You waive all rights of copyright or ownership that you might otherwise have in or to any of the Media.

17.3 Background Images

If you participate in Course activities by videoconference or in social media, you will not display any background that includes any copyrighted image, artwork, or logo that you do not own or do not have permission to use.

17.4 Content Standards

You agree that you will not present or display backgrounds, images, statements or slogans of any kind that may reasonably be deemed obscene, indecent, inflammatory, libelous, fraudulent, misleading, discriminatory or inciting violence of any kind. Further, you agree that you will not post, present or display content that may reasonably be deemed to be an advertisement, promotion, solicitation or that endorses any commercial, financial, medical, mental health or political organization.

17.5 Third-Party Use

You understand that videoconference Impressions and social media posts may be viewed by third parties. You release the Company from any liability, and waive any claims against the Company, arising from the appropriation or other use of the Impressions or posts by any third party.

# Section 18. Exposure to Minors and Third Parties

You acknowledge and agree that the Course content is intended solely for adults aged 21 and older and is not suitable for minors. You are solely responsible for ensuring that your participation in and access to the Course occurs in a private setting where no minor or other unauthorized individual may hear, see, or otherwise be exposed to the Course content.

You agree to take all reasonable precautions to prevent any minor or unauthorized third party from accessing, overhearing, or observing the Course content.

You hereby agree to indemnify, defend, and hold harmless the Company from and against any and all claims arising out of or relating to any exposure of any minor or unauthorized third party to Course content.

# Section 19. Offensive Content

Company Courses instruct in adult topics. You represent and warrant that you are at least 21 years of age. You acknowledge and agree that, at times, you may be exposed to Course content that may be considered to be offensive, indecent or objectionable by certain individuals or groups.

Under no circumstances will the Company be liable in any way for any such content, or any loss or damage of any kind incurred or suffered by you because of the use of any such content.

# Section 20. Content Change

Because we believe in constant innovation, you agree that the content, form and nature of any Course may change from time to time and that the Company may modify or change the same without prior notice or liability to you. The Company also may, in the Company's sole and absolute discretion, use prerecorded content in Course events, when the prerecorded content would meet or exceed the same Company training objective.

# Section 21. Well-being

You understand and agree that you are solely responsible for creating and implementing your own physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of or resulting from your participation in any Course. The Company is not and will not be liable or responsible for any of your actions or inaction.

# Section 22. Not a Substitute for Treatment

Any Course does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association. Course content is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or sexual or domestic violence abuse counseling from qualified professionals.

It is your exclusive responsibility to seek such independent professional, emergency, or medical guidance and assistance as needed.

# Section 23. Not Professional, Medical, Legal, or Financial Advice

The Course instructors and other Company personnel are not qualified to provide legal, tax, medical, accounting, or financial advice, and the information provided to you by any Course is not intended as such. You should refer all legal, tax, medical, accounting, and financially related inquiries to appropriately qualified professionals of your choosing.

# Section 24. Termination of Relationship

You understand and agree that Course instructors, agents, and contractors are not authorized or qualified to advise you to stay in your relationship or to leave or terminate any relationship. You must disregard and agree to disregard as completely invalid any such suggestion or directive to do so and you are solely responsible for deciding whether to stay in or to terminate any relationship.

# Section 25. No Commercial Gain

Each Course is only offered and available to individuals seeking to improve their interpersonal relationships and for noncommercial personal use. By purchasing any Course, you represent and warrant to the Company that you are not a couples counselor, couples therapist, relationship coach, or in any other manner generate commercial gain through advising others on how to improve your interpersonal relationships.

You shall immediately notify the Company if you are unsure if this clause applies to you. The Company may immediately terminate this Agreement if it determines you have breached this warranty. If the Company terminates this Agreement because of such a breach, no refund will be issued to you.

# Section 26. No Guarantee

The testimonials and examples in or on the Company's website, Sales Channels, and marketing materials are not intended to represent or guarantee that you or anyone else will achieve the same or similar results. You acknowledge and agree that the Company makes no guarantees as part of any Course.

Each Course participant's results depend on many factors, including his or her personal situation, relationships, decisions and actions. The Company makes no guarantee of life or relationship improvements because of your participation in any Course.

# Section 27. Limited Warranty

The Company represents and warrants that each Course will substantially conform to the description provided on the Sales Channels from time to time. Otherwise, the Company makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, truth, availability, accuracy, or completeness of any Course.

Except for the express warranties in this Section 27, the Company DISCLAIMS ALL WARRANTIES, whether EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE UNDER THIS AGREEMENT, including ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

# Section 28. Your Right

Course content is a comprehensive process that may involve different areas of your life. Deciding how to handle these issues, or to incorporate Course principles into those areas and implementing choices is your sole and exclusive right and responsibility.

# Section 29. Participant Information

We respect your privacy and must insist that you respect the privacy of fellow Course participants. By purchasing and accessing any Course, you agree not to violate the publicity or privacy rights of any Course participant.

We respect your confidential and proprietary information, personal details and situations (collectively, "Participant Information") and must insist that you respect the same rights of fellow Course participants and of the Company. By purchasing and accessing any Course, you agree:

  1. That any Participant Information shared by Course participants or any representative of the Company is confidential and proprietary, and belongs solely and exclusively to the disclosing party
  2. Not to disclose such information to any other person or use it in any manner other than in discussion with other Course participants during Course sessions

# Section 30. Proprietary Information Ownership; Intellectual Property Structure; Content Curation Disclaimer

As a Course participant, you will be provided with materials and information, including Course content, software, methods, know-how, and Participant Information (collectively, "Proprietary Information").

Ownership Recognition. You acknowledge and agree that all underlying Proprietary Information is exclusively owned by Sun and Moon Creations, LLC (the "IP Owner"). The Company has been granted a limited, non-exclusive, non-transferable, revocable license by the IP Owner to use, present, distribute, and make available the Proprietary Information solely for the purpose of delivering the Course to enrolled participants.

No Transfer of Ownership Rights. Neither the IP Owner nor the Company conveys, assigns, licenses (beyond the limited program delivery license described herein), or transfers any intellectual property rights, ownership interests, title, or any other proprietary rights in or to the Proprietary Information to you. All intellectual property rights remain exclusively and permanently with the IP Owner in perpetuity, regardless of the status of the Course or this Agreement.

Limited License for Course Delivery. The Company's authorization to present, distribute, and make available the Proprietary Information to Course participants is solely pursuant to its license agreement with the IP Owner. This license does not confer upon the Company any ownership rights, and the Company acts solely as a licensed distributor and service provider on behalf of the IP Owner.

You acknowledge that:

  • The IP Owner is the exclusive and permanent owner of all underlying Proprietary Information in perpetuity
  • The Company is a licensed distributor and service provider acting under the Separate Licensing Agreement
  • Your participation in the Course grants you no ownership interest whatsoever in the Proprietary Information
  • Your license to access Course materials terminates automatically upon expiration of your six-month access term
  • All intellectual property protections granted to the IP Owner survive Course termination indefinitely

Critical Content Curation and Selection Disclaimer. The Company exercises SOLE and EXCLUSIVE authority over all content-related decisions, including but not limited to: which Proprietary Information to include in Course, how to organize, arrange, compile content, instructional design and teaching methodology, creation of derivative works, marketing messages and promotional materials, pricing and packaging decisions, testimonials, case studies, platform design and user interface, and content updates and modifications.

The IP Owner has NO role in content selection, curation, arrangement, instructional design, marketing, pricing, platform development, or any operational decision. The IP Owner merely licenses existing intellectual property to the Company under the Separate Licensing Agreement. All content-related liability rests exclusively with the Company.

# Section 31. Artificial Intelligence and Automated Processing Prohibition (Participant Use)

No portion of the Course, including but not limited to any Proprietary Information, Course content, course materials, audio, video, text, images, live presentations, data, software, methods, know-how, Participant Information, or any other materials provided through or in connection with the Course, may be stored, reproduced, recorded, translated, transcribed, summarized, paraphrased, or otherwise processed in any manner through artificial intelligence, machine learning, large language models, generative AI tools, automated natural language processing systems, neural networks, or any other automated or semi-automated computational system designed to analyze, extract, learn from, generate, transform, or produce derivative content (individually and collectively, "AI Systems").

Specifically, and without limitation, you shall not:

  1. Input, upload, paste, transmit, or otherwise provide any Proprietary Information or Course content into any AI System
  2. Use any AI System to analyze, scrape, mine, extract, summarize, paraphrase, translate, transform, or otherwise process any Proprietary Information or Course content
  3. Use any AI System to generate, produce, or create any derivative works, summaries, outlines, study guides, training materials, courses, articles, blog posts, social media content, or any other output that is based upon, derived from, or incorporates any Proprietary Information or Course content, in whole or in part
  4. Train, fine-tune, calibrate, or otherwise improve any AI System, model, or algorithm using any Proprietary Information or Course content
  5. Store, cache, or retain any Proprietary Information or Course content in any AI System, cloud-based AI service, vector database, embedding database, training dataset, or any other data structure used by or accessible to any AI System
  6. Permit, authorize, enable, or facilitate any other person or entity to engage in any of the activities prohibited above

Explicit Acknowledgment Regarding AI-Generated Outputs. You further acknowledge and agree that any content, output, derivative work, summary, transformation, adaptation, compilation, or other material created, generated, produced, or facilitated by an AI System that is based upon, incorporates, derives from, reflects, or otherwise relates to the Proprietary Information (individually or collectively, "AI-Generated Outputs"), regardless of the extent of human modification or transformation applied thereafter, constitutes a derivative work under applicable intellectual property law and remains subject to all intellectual property restrictions and protections granted to the IP Owner herein.

# Section 32. Authorized Company AI Processing

Notwithstanding the prohibitions set forth in Section 31 applicable to Participants, you expressly authorize and consent to the Company's use of AI Systems to process Proprietary Information and your personal information for legitimate business purposes related to the delivery, administration, and improvement of the Course. Such authorized Company use includes customer support automation, personalization of Course materials, transcription and captioning of live and prerecorded Course sessions, data analytics, content creation, fraud detection and payment security, sales and marketing automation, onboarding and enrollment automation, contract and compliance management, predictive analytics, content moderation, quality assurance, training and refinement of AI tools, translation and localization, and security monitoring.

The Company has sole and exclusive authority to determine which AI Systems to deploy, what data to process, and how to configure AI operations. The IP Owner does not direct, control, or supervise these AI processing decisions and shall not be held liable for any consequences of the Company's AI processing activities.

# Section 33. License Grant and Limitations

The Company grants you a limited, nonexclusive, nontransferable, nonsublicensable, terminable, and royalty-free license to use, store, and retain one copy of the Proprietary Information for your personal, noncommercial use, solely during your six-month access term for the specific Course(s) you purchased, and only pursuant to the Company's license from the IP Owner. This is the grant of a license, not a transfer of title, and under this license you may not:

  1. Modify or copy the Proprietary Information
  2. Use the Proprietary Information for any commercial purpose, or for any public display (commercial or non-commercial)
  3. Attempt to decompile or reverse engineer any software contained on the Company's website or Sales Channels
  4. Remove any copyright or other proprietary notations from the Proprietary Information
  5. Transfer the Proprietary Information to another person or "mirror" the Proprietary Information on any other server
  6. Input, upload, submit, or otherwise provide any Proprietary Information into any AI System

This license will automatically terminate if you violate any of these restrictions and will automatically terminate upon the Expiration Date for each Course. The Company may otherwise terminate this license at any time.

Upon termination of this license, you must promptly return, delete, or destroy all Proprietary Information in your possession whether in electronic or printed format, including any copies, summaries, notes, or derivatives stored in or generated by any AI System.

# Section 34. Indemnification

Participant shall indemnify, defend, and hold harmless Company, its officers, directors, agents and employees, from and against any and all losses, claims, demands, suits, actions, proceedings and expenses (including reasonable attorneys' fees and costs), including all acts of negligence, infringement and malfeasance, directly or indirectly arising out of or resulting from:

  1. Any act or omission of Participant in any Course
  2. Any unauthorized use by Participant of Proprietary Information
  3. Any unauthorized sharing, posting, or distribution of login credentials, account access information, or Course access methods as described in Section 10
  4. Any breach of any representation, warranty, or covenant of Participant contained in this Agreement
  5. Any breach by Participant of any applicable law

You further agree to indemnify and hold harmless the IP Owner from and against any and all losses, claims, demands, suits, actions, proceedings and expenses (including reasonable attorneys' fees and costs) arising from unauthorized use, reproduction, distribution, or processing of Proprietary Information owned by the IP Owner. This indemnification obligation is limited to IP Owner claims related to Proprietary Information infringement and does not extend to operational matters.

Reciprocal Indemnification. The Company agrees to indemnify and hold harmless the IP Owner from any and all claims arising from the Company's operational decisions, marketing practices, course content selection, instructional design, delivery methods, customer service, payment processing, data handling, or any activities within the Company's control.

# Section 35. Limitation of Liability

The Company is able to keep Course fees affordable because you and other Participants agree to reasonable liability limits. Except if solely caused by the Company's gross negligence or willful misconduct, the Company is not liable for any personal or property damage, loss, or destruction, or personal injury or death, arising out of in any manner, or connected with your participation in any Course.

Additionally, in no event will the Company be liable to you for any consequential, incidental, indirect, incidental, special, exemplary, punitive, enhanced, or contingent damages, lost profits or revenues or diminution in value arising out of, relating to, or in connection with this Agreement.

Further, notwithstanding any other provision of this Agreement, the total amount of any Company liability for any reason whatsoever is limited to the total purchase price that you actually paid for the Course(s) in this transaction.

Third-Party IP Owner Status. The IP Owner is a separate legal entity from the Company and is unequivocally NOT a party to this Agreement. The IP Owner makes NO representations, warranties, or covenants to you of ANY kind and assumes ABSOLUTELY NO LIABILITY to you whatsoever arising from your participation in the Course, except as expressly and narrowly required by applicable federal intellectual property statutes (e.g., copyright infringement damages).

35.1 Exception for Unauthorized Sharing and Intellectual Property Breaches

Notwithstanding the foregoing liability limitations, the liability cap set forth in this Section 35 shall not apply to breaches involving:

  1. Unauthorized sharing, distribution, posting, or publication of login credentials or account access information as described in Section 10
  2. Unauthorized reproduction, distribution, teaching, transmission, sharing, broadcasting, or sale of Proprietary Information as described in Sections 30 and 31

In such cases, the Company may seek actual damages, injunctive relief, recovery of reasonable attorneys' fees and costs, and any other remedies available at law or in equity through binding arbitration.

# Section 36. Class Action Waiver

Where permitted under applicable law, you and the Company agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative action. Unless both you and the Company agree, no judge or arbitrator may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

# Section 37. Mandatory Arbitration

ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THIS AGREEMENT, ANY COURSE PURCHASED THROUGH THE COMPANY'S SALES CHANNELS, OR ANY RELATIONSHIP BETWEEN YOU AND THE COMPANY, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION CONDUCTED IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION.

The arbitration shall be conducted before a single arbitrator in Boise, Ada County, Idaho. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Limited IP Owner Joinder. While the IP Owner is not a party to this Agreement, the IP Owner may join any arbitration proceeding as a non-signatory beneficiary only where intellectual property rights or Proprietary Information are directly at issue. You acknowledge and consent to such joinder. The IP Owner's joinder is strictly limited to IP-specific enforcement claims.

# Section 38. Governing Law; Jurisdiction; Arbitration Costs

This Agreement will be governed by Idaho law, without giving effect to that state's conflict of laws jurisprudence. ALL DISPUTES ARISING FROM THIS AGREEMENT SHALL BE RESOLVED SOLELY THROUGH BINDING ARBITRATION IN BOISE, ADA COUNTY, IDAHO, IN ACCORDANCE WITH SECTION 37 OF THIS AGREEMENT. THE PARTIES HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO LITIGATE IN COURT.

38.1 Administrative and Arbitrator Fees

The Company shall pay the arbitrator's fees and the administrative fees charged by the American Arbitration Association. Each party shall bear its own attorneys' fees, costs, and expenses incurred in connection with any arbitration proceeding.

38.2 Filing Fees

The filing fee for initiating arbitration shall be borne by the initiating party, unless the Participant is the initiating party and demonstrates financial hardship to the arbitrator's satisfaction by providing documentary evidence of income below 200% of the federal poverty guidelines. In the event the Participant demonstrates qualifying financial hardship, the Company shall cover the Participant's filing fee.

38.3 Prevailing Party Recovery

In any Proceeding, the prevailing party may be awarded reasonable attorneys' fees and costs by the arbitrator, but only if the arbitrator determines that the losing party's claims, defenses, or arguments were frivolous, brought in bad faith, or lacked substantial justification.

38.4 Intellectual Property Breach Fees

Where the Company initiates arbitration based on unauthorized sharing of credentials, Proprietary Information, or other intellectual property breaches described in Sections 10 and 31, the Participant shall be solely responsible for all administrative fees, arbitrator compensation, and attorneys' fees incurred by the Company in connection with such proceeding.

38.5 Cost Cap for Company

In no event shall the Company's total financial obligation for administrative fees, arbitrator compensation, and related arbitration costs exceed the greater of (i) the amount paid by the Participant for Course tuition during the six-month term giving rise to the dispute, or (ii) $200 USD, except where specific statutes require higher amounts or where the Participant's actions constituted willful misconduct, fraud, or intentional intellectual property infringement.

38.6 Enforcement Costs

In any Proceeding to enforce or defend the enforceability of this Agreement, the prevailing party may recover reasonable costs incurred, as determined by the arbitrator in their sole discretion.

# Section 39. Force Majeure

The Company will not be considered in breach or in default of this Agreement because of, and will not be liable for, any delay, inability, or failure to perform its obligations under this Agreement caused (directly or indirectly) by any occurrence outside the Company's reasonable control, including acts of God, fire, floods, hurricanes, windstorms, casualties, strikes, labor disputes, civil disorder, acts of war or terrorism, disease outbreak, epidemic, pandemic, or any other cause not within the Company's control.

If any portion of any purchased Course is cancelled or postponed because of a Force Majeure event, the Company may, at its option and in its sole discretion:

  1. Reschedule any portion(s) of the Course
  2. Extend your six-month access term by a period equal to the duration of the Force Majeure disruption
  3. Issue a refund for all fees you paid to the Company that are attributable to the canceled/postponed Course event, minus a reasonable administrative fee
  4. Any combination of the above

# Section 40. Amendment

The Company may, in the Company's sole and absolute discretion, unilaterally modify, amend, or change this Agreement at any time and from time to time, by giving you written notice (including email) and sending a revised version of such agreement to you at the most recent address provided to the Company, at least thirty (30) days before the effective date of such modification, amendment, or change.

Following any such modification, amendment, or change, your continued participation in any purchased Course will serve as and be deemed your express assent and agreement to all modifications, amendments, and changes.

However, no such amendment or modification by the Company will obligate you to pay any additional sums of money beyond the total purchase price you have already paid.

40.1 Protection Against Material Reduction

During any six-month term for which you have paid in full, any material change that would adversely affect your rights or obligations under this Agreement shall require your affirmative written consent. If you do not consent to a material change to this Agreement, you must notify the Company in writing within thirty (30) days of the effective date of such material change.

Upon receipt of such notice, the Company may, in its sole discretion exercised in good faith, elect to:

  1. Continue Current Terms under the agreement as previously in effect for the remainder of your then-current six-month term
  2. Terminate with Pro-Rata Refund, terminating this Agreement effective as of the date of the Company's election and issuing a pro-rata refund of prepaid tuition attributable to the unused portion of the remaining term

# Section 41. Entire Agreement; Severability

This Agreement constitutes the parties' entire, completely integrated agreement related to the purchase of and participation in any digital course(s) from the Company's Sales Channels.

The provisions of this Agreement are severable, and if any portion of this Agreement is held or declared to be illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability will not affect any other provision of this Agreement, and the remainder of this Agreement, disregarding such portion, will continue in full effect.

This Agreement does not constitute the entire agreement between you and the IP Owner; intellectual property rights remain governed by applicable federal and state law and the IP Owner's independent rights.

# Section 43. Nonwaiver of Remedies

The failure or neglect of a party to enforce any remedy available because of another party's failure to observe or perform a term or condition set forth in this Agreement will not constitute a waiver of the term or condition.

A waiver by a party:

  1. Must be in writing
  2. Will not affect any term or condition other than the one specified in the waiver
  3. Will waive a specified term or condition only for the time and in the manner specifically stated in the waiver
